Terms of Service

Effective Date: May 14, 2026
Last Updated: May 14, 2026

These Terms of Service ("Terms") govern your access to and use of the Neyo website at neyo.ai and the Neyo platform and related services (collectively, the "Services") provided by Neyo, LLC ("Neyo," "we," "us," or "our"), a limited liability company organized under the laws of the State of California, United States.

These Terms apply to:

  • Visitors to neyo.ai and individuals who request demonstrations, sign up for content, or otherwise interact with our public-facing materials
  • Clients of Neyo, except where superseded by a separate signed agreement (a "Service Agreement" or "Master Services Agreement"), in which case that agreement governs the commercial relationship and these Terms apply only to the extent not inconsistent with it

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

PLEASE READ SECTION 23 (GOVERNING LAW AND DISPUTE RESOLUTION) CAREFULLY. IT REQUIRES BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW OR WHERE A SIGNED SERVICE AGREEMENT PROVIDES OTHERWISE.

1. Definitions

For the purposes of these Terms:

  • "Client" means a business that has entered into a Service Agreement with Neyo to use the Services.
  • "Client Data" means data (including personal information) submitted to, generated within, or processed by the Services on behalf of a Client, including customer and prospect records, audience definitions, creative assets, campaign configurations, conversion events, and marketing performance data.
  • "Advertising Platforms" means third-party platforms through which the Services execute or measure marketing activities, including major search, social, video, professional networking, programmatic, retail-media, and connected-TV platforms.
  • "Output" means any content generated by the Services, in whole or in part by machine learning or artificial intelligence, including marketing strategies, audience definitions, creative concepts, creative assets (text, image, audio, video), campaign configurations, reports, and recommendations.
  • "Personal Information" has the meaning given in our Privacy Policy and includes any information defined as "personal data," "personal information," or equivalent under applicable privacy law.
  • "Privacy Policy" means Neyo's privacy policy at neyo.ai/privacy, as updated from time to time.
  • "Data Processing Addendum" or "DPA" means the data processing addendum entered into between Neyo and a Client governing the processing of Personal Information on the Client's behalf.

2. The Services

Neyo, LLC provides an AI-native commercial automation platform that enables businesses to plan, produce, execute, and measure multi-channel advertising and marketing activities. The Services include:

  • Strategy and audience-building tools that operate on Client data
  • AI-assisted creative production
  • Campaign execution and management across Advertising Platforms
  • First-party measurement and reporting

Specific features, service levels, fees, and operational details applicable to a Client are set out in that Client's Service Agreement. Public-facing portions of the Services on neyo.ai are intended for informational and demo-request purposes.

We may modify, add, or remove features of the Services from time to time. Where a modification would materially reduce the functionality available to a Client, we will provide reasonable notice in accordance with the Client's Service Agreement.

3. Eligibility

You must be at least 18 years of age (or the equivalent age of majority in your jurisdiction) and have authority to enter into these Terms. The Services are intended for use by businesses and the personnel they authorize, not for individual consumer use.

4. Account Use and Security

If you receive credentials to access the Services, you are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity that occurs under your account
  • Using multi-factor authentication where the Services make it available
  • Promptly notifying Neyo at security@neyo.ai of any actual or suspected unauthorized access, security incident, or compromise of credentials

You must not share, sell, transfer, or sublicense your credentials, or permit any party other than authorized personnel of the Client to use them.

5. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Services for any unlawful purpose or in violation of any applicable law, regulation, or third-party right
  • Use the Services to send unsolicited commercial communications in violation of applicable law (including the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), the EU ePrivacy framework, and equivalent laws)
  • Use the Services to promote, facilitate, or enable activity that is fraudulent, deceptive, harassing, threatening, defamatory, obscene, hateful, or that infringes the rights of others
  • Attempt to gain unauthorized access to any part of the Services, any other user's account, any Client's data, or any system or network connected to the Services
  • Probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Services, except to the extent such restriction is prohibited by law
  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Services, or any portion of them
  • Use any automated means, robot, scraper, or similar tool to access the Services in a manner that places undue load on our infrastructure or that exceeds reasonable usage
  • Use the Services to transmit malware, viruses, or other harmful code
  • Misrepresent your identity, affiliation, or authorization in any communication with Neyo or through the Services
  • Remove or obscure any proprietary, copyright, trademark, or other notices contained in or on the Services or any materials we provide
  • Use the Services to develop or train a competing product or service, or to benchmark the Services for competitive purposes

We reserve the right to suspend or terminate access for any conduct that we reasonably determine violates these Terms.

6. Client Responsibilities for Data and Compliance

Where you are a Client (or acting on a Client's behalf), the following obligations apply with respect to Client Data and the use of the Services.

6.1 Lawful Collection and Use

You represent and warrant that:

  • You have collected all Client Data lawfully, in compliance with applicable privacy and data protection laws (including the CCPA/CPRA and other applicable U.S. state laws, PIPEDA, Quebec Law 25, the GDPR and UK GDPR, and the LGPD as applicable), and any applicable Advertising Platform terms
  • You have provided all required notices to individuals whose Personal Information is included in Client Data, and have obtained all required consents (including consent at collection, where applicable, and consent for advertising platform sharing)
  • You have a lawful basis under applicable privacy law to share Client Data with Neyo for the purposes of the Services, and to authorize Neyo to share Client Data with Advertising Platforms and other sub-processors as set out in our Privacy Policy and DPA
  • Your privacy policy accurately discloses your use of service providers like Neyo, your use of marketing technology, and your sharing of Client Data with Advertising Platforms

6.2 First-Party Data

You will only submit to the Services, and only authorize Neyo to transmit to Advertising Platforms, data that was collected in a first-party context — that is, data that the individual provided directly to you or that you observed in your relationship with the individual. You will not submit purchased lists, scraped data, or data acquired from third parties in violation of Advertising Platform terms.

6.3 Sensitive and Prohibited Information

You will not submit to the Services, or instruct Neyo to transmit to any Advertising Platform, any information that constitutes:

  • Sensitive personal information as defined under applicable privacy law (including under the CCPA/CPRA — Social Security or government identifiers, precise geolocation, racial or ethnic origin, religious or philosophical beliefs, union membership, contents of mail/email/text messages, genetic data, biometric information processed to uniquely identify, health information, or information concerning sex life or sexual orientation — and equivalent categories under other applicable laws)
  • Prohibited, restricted, or sensitive categories as defined under any Advertising Platform's terms or policies, including in connection with custom event naming, audience targeting, or conversion measurement
  • Protected health information subject to HIPAA, financial account information subject to the Gramm-Leach-Bliley Act, information of children subject to COPPA, or other categories of regulated data, unless Neyo has expressly agreed in writing to receive and process such data

If you become aware that any such information has been submitted, you will promptly notify Neyo at privacy@neyo.ai and cooperate to delete it.

6.4 Advertising Platform Compliance

You acknowledge and agree that:

  • Use of the Services involves transmission of data to and from Advertising Platforms, and that each Advertising Platform's terms, policies, and developer requirements apply to that data and to the campaigns executed on that platform
  • You are responsible for compliance with all Advertising Platform terms applicable to you as an advertiser, including advertising content policies, audience targeting policies, consent policies (including the EU User Consent Policy where applicable), and platform-specific data handling rules
  • Neyo will exercise commercially reasonable efforts to operate the Services in compliance with applicable Advertising Platform terms, and Client cooperation may be required where compliance depends on Client actions, configurations, or representations
  • Advertising Platforms may suspend, restrict, or reject campaigns at their discretion, including based on automated review, advertiser verification, or compliance investigations; Neyo is not responsible for such actions

6.5 Consent and Preference Management

You are responsible for capturing, recording, and respecting the consent and preference choices of individuals whose information you submit to the Services, including with respect to marketing communications, advertising platform targeting, cookie use, opt-out preference signals (such as the Global Privacy Control), and other applicable opt-in or opt-out rights. Where Neyo can pass consent signals through to Advertising Platforms, you are responsible for the accuracy of those signals.

6.6 Data Subject Requests

You are responsible for responding to requests from individuals exercising rights under applicable privacy law (such as access, correction, deletion, or opt-out requests) with respect to Client Data. Neyo will provide reasonable assistance as set out in our DPA.

6.7 Lead Form Data and Platform-Provided Records

Where the Services receive data from an Advertising Platform on your behalf (for example, lead form responses or conversion events), you will handle that data in accordance with the Advertising Platform's terms, including any restrictions on retention, transfer, secondary use, and combination with other data sources.

7. Intellectual Property

7.1 Neyo's Rights

The Services, including all software, content, designs, trademarks, logos, technical documentation, and methodologies (excluding Client Data and Outputs to the extent allocated to Clients below), are owned by Neyo, LLC or its licensors and are protected by intellectual property laws. Subject to these Terms and any applicable Service Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your internal business purposes. No other rights are granted, by implication, estoppel, or otherwise.

7.2 Client Data

As between Neyo and a Client, the Client retains all right, title, and interest in and to Client Data. The Client grants Neyo a limited, non-exclusive license to use Client Data solely to provide and improve the Services for the Client. Improvements to the Services that result from operating the Services for a Client do not entitle the Client to ownership of the underlying Services.

7.3 Outputs

Subject to payment of applicable fees and compliance with these Terms, the Client owns the rights to Outputs delivered for that Client by the Services, except for:

  • Generic, non-distinctive elements that are inherent to the underlying generative models or stylistic conventions
  • Components owned by third parties (including licensed media, stock assets, fonts, or platform-provided templates), which remain subject to their own licenses
  • Underlying models, prompts, methodologies, and infrastructure used to produce Outputs, which remain owned by Neyo or its providers

Outputs are generated by automated processes and may not be unique. Neyo makes no representation that Outputs are non-infringing, original to the Client, or suitable for any particular use. The Client is responsible for reviewing Outputs before use, ensuring they comply with applicable law and platform policies, and obtaining any clearances required for third-party content or likeness.

7.4 Generative AI Limitations

You acknowledge that:

  • Outputs may contain errors, inaccuracies, fabricated content, or material that is inconsistent with your brand or intent
  • Outputs are not a substitute for professional advice (legal, medical, financial, or otherwise)
  • Outputs should be reviewed by qualified personnel before publication, particularly where they make claims, refer to identifiable individuals, or relate to regulated categories
  • Similar or identical Outputs may be generated for other users of the underlying models

You are solely responsible for your use of Outputs, including any republication, advertising, or commercial use.

7.5 Feedback

If you provide Neyo with suggestions, feedback, improvement ideas, or recommendations regarding the Services or any Outputs ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate the Feedback for any purpose, without obligation or compensation to you.

7.6 Use of Client Data in Model Training

Neyo does not use Client Data to train, fine-tune, or otherwise improve general-purpose machine learning or artificial intelligence models. Neyo may use de-identified and aggregated data derived from operation of the Services for the purpose of analyzing, securing, and improving the Services. Specific commitments are set out in the DPA.

8. Confidentiality

Each party may have access to confidential information of the other in connection with the Services. The receiving party will:

  • Use the disclosing party's confidential information solely for purposes of these Terms and any applicable Service Agreement
  • Protect such information using at least the same degree of care it uses to protect its own confidential information, and in any event no less than reasonable care
  • Not disclose such information to third parties, except to its personnel, contractors, and advisors with a need to know and bound by confidentiality obligations no less protective than those in these Terms

Confidentiality obligations do not apply to information that is publicly available without breach, was known to the receiving party without obligation, is rightfully received from a third party, or is independently developed. Information may be disclosed where required by law, provided the receiving party gives prompt notice to the disclosing party (where lawful) and cooperates in seeking protective measures.

Confidential information includes, without limitation, Neyo's non-public technical, operational, and commercial information, and Client Data.

9. Privacy and Data Protection

The Privacy Policy at neyo.ai/privacy describes how Neyo handles Personal Information and is incorporated into these Terms by reference. To the extent Neyo processes Personal Information on behalf of a Client, the Data Processing Addendum applies. Where there is any conflict, the DPA governs with respect to processing of Personal Information on behalf of a Client.

10. Third-Party Services and Platforms

The Services integrate with third-party Advertising Platforms, customer relationship management systems, payment processors, analytics providers, AI infrastructure providers, and other services. Your use of any third-party service is subject to that service's own terms and policies. Neyo is not responsible for the availability, accuracy, content, security practices, or actions of third-party services. Where a third-party service modifies or discontinues functionality on which the Services depend, the Services may be affected in ways outside of Neyo's control.

11. Demo Requests and Pre-Sale Communications

When you submit a demo request or contact form on neyo.ai, you consent to receive communications from Neyo related to your inquiry. We will handle the information you provide in accordance with our Privacy Policy. If you no longer wish to receive communications, you may unsubscribe at any time using the link in any marketing email or by contacting privacy@neyo.ai.

12. Fees and Payment

If you are a Client, fees, billing terms, and payment obligations are set out in your Service Agreement. Unless otherwise stated, fees are exclusive of taxes; you are responsible for any applicable sales, use, value-added, or similar taxes (other than taxes on Neyo's net income). Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Where there is no separate Service Agreement, no fees apply to the public portions of the Services on neyo.ai.

13. Service Availability

The Services are provided as a hosted service. Neyo will use commercially reasonable efforts to make the Services available, but does not warrant uninterrupted, error-free, or continuously available operation. Service availability commitments, if any, are set out in the applicable Service Agreement. We may perform scheduled maintenance and may, from time to time, perform unscheduled maintenance where necessary. We will provide reasonable advance notice of scheduled maintenance where practicable.

14. Suspension

We may suspend access to the Services (in whole or in part) where:

  • We reasonably believe the Services are being used in violation of these Terms, applicable law, or Advertising Platform terms in a manner that exposes Neyo or third parties to material risk
  • A security incident, malicious activity, or compromise of credentials requires immediate action
  • An Advertising Platform or other third-party service has restricted or terminated access for Neyo or for a Client in a manner that affects the Services
  • Required by law or compelled by valid legal process
  • A Client is materially in breach of payment obligations, subject to any cure period in the applicable Service Agreement

Where reasonably practicable, we will provide notice before suspending and the opportunity to cure. Where suspension is required immediately to mitigate risk, we will provide notice as soon as reasonably practicable thereafter.

15. Disclaimers

THE SERVICES, INCLUDING ALL OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEYO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

NEYO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT OUTPUTS WILL MEET YOUR REQUIREMENTS, BE FREE FROM ERRORS OR INACCURACIES, OR BE SUITABLE FOR ANY PARTICULAR PURPOSE; OR THAT THE SERVICES WILL INTEGRATE OR REMAIN COMPATIBLE WITH ANY THIRD-PARTY SERVICE.

No marketing performance guarantee. Neyo does not guarantee any specific marketing or advertising outcome, including but not limited to return on ad spend, lead volume, conversion rates, audience match rates, revenue, ranking, or visibility. Marketing performance depends on many factors outside Neyo's control, including platform algorithms, market conditions, creative quality, competitive dynamics, regulatory changes, audience characteristics, and Client actions.

No legal, financial, medical, or professional advice. Outputs do not constitute legal, financial, tax, medical, or other professional advice. You should consult qualified professionals before acting on any Output that relates to such matters.

Some jurisdictions do not allow the disclaimer of certain warranties. In such jurisdictions, our warranties are limited to the maximum extent permitted by law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

(a) NEYO AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, REPUTATION, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NEYO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) NEYO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, IN THE AGGREGATE FOR ALL CLAIMS, SHALL NOT EXCEED THE GREATER OF: (i) THE AMOUNTS PAID OR PAYABLE BY YOU TO NEYO IN THE TWELVE (12) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY, OR (ii) ONE THOUSAND U.S. DOLLARS (US $1,000).

(c) The limitations in this Section 16 form an essential basis of the bargain between the parties and apply notwithstanding the failure of any limited remedy of its essential purpose.

(d) Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability for: fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

For Clients, liability between Neyo and the Client is further set out in the applicable Service Agreement, which controls in case of conflict with this Section.

17. Indemnification

You agree to defend, indemnify, and hold harmless Neyo and its affiliates, officers, directors, managers, members, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services in violation of these Terms, applicable law, or third-party rights
  • Your breach of Section 5 (Acceptable Use) or Section 6 (Client Responsibilities for Data and Compliance)
  • Any Client Data submitted by you or on your behalf, including any allegation that the collection, processing, or transmission of Client Data violates applicable law or any third party's rights
  • Your use of any Output, including any allegation of infringement, defamation, or violation of advertising standards
  • Any claim brought by an Advertising Platform or its users arising from your use of the Services or your campaigns

We will provide prompt notice of any claim for which indemnification is sought, allow you to control the defense (with our cooperation, at your expense), and not settle any claim without your consent (not to be unreasonably withheld). We reserve the right to participate in the defense at our own expense.

For Clients, indemnification obligations between Neyo and the Client are further set out in the applicable Service Agreement, which controls in case of conflict with this Section.

18. Termination

These Terms continue in effect until terminated. We may terminate or suspend your access to the Services at any time for conduct that we reasonably determine violates these Terms or is otherwise harmful to Neyo, other users, or third parties. You may stop using the Services at any time.

For Client relationships governed by a Service Agreement, the term and termination provisions of that agreement control.

Sections of these Terms that by their nature should survive termination — including those relating to intellectual property, confidentiality, privacy, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous — will survive.

On termination, Client Data is handled in accordance with the DPA and applicable Service Agreement.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide notice through the Services or by email. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Services.

For Clients with a Service Agreement, changes to commercially material terms are governed by the change-control provisions of that agreement, which control in case of conflict.

20. Force Majeure

Neither party will be liable for any delay or failure to perform (other than payment obligations) due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, labor disputes, internet or telecommunications failure, supplier failure, or failure or unavailability of third-party platforms or infrastructure.

21. Compliance with Law; Export Controls and Sanctions

Each party will comply with all applicable laws in connection with these Terms and the Services. You represent that you, your personnel, and your affiliates are not (a) located in, or a national or resident of, any country or region subject to comprehensive economic sanctions administered by the United States (including by the U.S. Department of Treasury's Office of Foreign Assets Control), Canada, the United Kingdom, the European Union, or the United Nations; or (b) designated on any restricted-party list maintained by any of the foregoing (including the U.S. Specially Designated Nationals (SDN) List, Entity List, or Denied Persons List). You agree not to use the Services in violation of applicable export-control or sanctions laws, including the U.S. Export Administration Regulations and Foreign Trade Regulations.

22. Notices

Notices to Neyo under these Terms should be sent to legal@neyo.ai, with a copy by mail to the address listed in Section 26. Notices to you may be sent to the email address associated with your account or, in the case of a Client, the notice address set out in the Service Agreement. Notices are deemed given when sent, or, in the case of mailed notices, three business days after deposit with a recognized courier.

23. Governing Law and Dispute Resolution

23.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

23.2 Informal Resolution

Before initiating formal dispute resolution, the parties agree to attempt in good faith to resolve any dispute by sending a written notice describing the dispute to legal@neyo.ai (or, for Neyo-initiated disputes, to the Client's notice contact) and meeting (in person, by telephone, or by videoconference) to negotiate a resolution. The parties shall negotiate in good faith for at least thirty (30) days before proceeding to arbitration or litigation.

23.3 Binding Arbitration

Except as set out in Section 23.5, any dispute, controversy, or claim arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved by binding individual arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures (or, for disputes of US $250,000 or less, its Streamlined Arbitration Rules), as then in effect. The arbitration shall be conducted in San Francisco County, California, before a single arbitrator with substantial experience in commercial technology disputes. Judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs and attorneys' fees, except as otherwise required by applicable law or as awarded by the arbitrator.

23.4 Class Action Waiver

The parties agree that disputes shall be resolved on an individual basis only. YOU AND NEYO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative proceeding. If this class action waiver is held unenforceable, then the entirety of Section 23.3 shall be null and void, but the remainder of these Terms shall remain in effect.

23.5 Exceptions

Either party may bring an action in a court of competent jurisdiction for: (a) injunctive or other equitable relief to protect intellectual property or confidential information; (b) small-claims court matters within that court's jurisdiction; or (c) where required by applicable law that cannot be waived. For any matter not subject to arbitration under this Section, the parties agree to the exclusive jurisdiction of the state and federal courts located in Marin County, California, and waive any objection to jurisdiction or venue.

23.6 Right to Opt Out of Arbitration

You may opt out of the arbitration provision in Section 23.3 and the class action waiver in Section 23.4 by sending written notice to legal@neyo.ai within thirty (30) days of the date you first accepted these Terms. Your notice must include your name, mailing address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.

23.7 Clients with Service Agreements

For Clients with a Service Agreement that contains a different dispute resolution provision (including different arbitration rules, venue, or class waiver), that provision controls over this Section 23.

24. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between the parties. Each party is an independent contractor. Neither party has authority to bind the other except as expressly set out in these Terms or a Service Agreement.

25. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, DPA (where applicable), and any Service Agreement, constitute the entire agreement between you and Neyo regarding the Services and supersede prior or contemporaneous communications and proposals on the same subject.

Order of Precedence. In the event of conflict, the following order of precedence applies: (i) the Service Agreement, (ii) the DPA, (iii) the Privacy Policy, (iv) these Terms.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

No Waiver. Failure or delay in enforcing any provision does not constitute a waiver of that provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. Any unauthorized assignment is void. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of substantially all of our assets. These Terms bind and benefit the parties' permitted successors and assigns.

Headings. Section headings are for convenience only and do not affect interpretation.

Construction. "Including" and "such as" mean "including without limitation." References to a party include its affiliates where context permits.

Counterparts and Electronic Acceptance. These Terms may be accepted electronically and acceptance is effective and enforceable as a signed agreement under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act, and equivalent laws.
